Organisation Terms of Service

Foreword

We have written these Terms of Service, and all our other legal documents, in plain English wherever possible. We want you to understand what you are agreeing to when you use Helix and its associated services.

Definitions

In this document, case sensitivity is not important, for example "Helix" and "helix" mean the same thing. Likewise for plurals and singulars, for example "Helix" and "Helixes" mean the same thing.

Term

Helix

The Helix suite of software, including Helix Dispatch, Helix Profile and any other service, website or software directly developed by us.

You

The organisation using Helix, whether a business, charity, or other entity.

RedEye Technologies

The company behind Helix, registered in England and Wales.

We and Us

RedEye Technologies on behalf of Helix.

Service

Any service provided by Helix, including software, websites, and support services.

Organisation

The entity using Helix, whether a business, charity, or other entity.

FiveM

The FiveM platform, a modification for Grand Theft Auto V developed by CitizenFX Collective and published by Rockstar Games.

Roblox

The Roblox platform, a game creation platform developed and published by Roblox Corporation.

Discord

The Discord platform, a communication platform developed and published by Discord Inc.

TeamSpeak

The TeamSpeak platform, a communication platform developed and published by TeamSpeak Systems GmbH.

Mumble

The Mumble platform, a communication platform developed by Thorvald Natvig and published by the Mumble Developers.

Acceptance of Terms

By using Helix and its associated services, you agree to be bound by these Terms of Service. If you do not agree to these Terms of Service, you must not use Helix or its associated services.

Changes to Terms

We reserve the right to change these Terms of Service at any time. If we make changes, we will notify you by email or by posting a notice on the Helix website. If you continue to use Helix after the changes are made, you are agreeing to the new Terms of Service.

Helix Service

Helix is a suite of software and services designed to assist organisations in managing incidents, resources, and other operational tasks for their business, charity, or other entity. Helix is provided on a subscription basis, and is hosted by RedEye Technologies.

Subscription

Helix is provided on a subscription basis. You agree to pay the subscription fee for your organisation's use of Helix. The subscription fee is dependent on the plan provided, and may be on a monthly, quarterly, or annual basis. For monthly and quarterly subscriptions, payment is due on the first day of the subscription period. For annual payments, payment may be provided in advance or in instalments, but must be paid in full by the end of the subscription period.

Payment

Payment for your Helix subscription is due on the first day of the subscription period. If payment is not received, your organisation's access to Helix may be suspended or terminated. If your organisation's access is terminated, you will have the opportunity to pay any outstanding fees to regain access to Helix.

Payment Arrears

Helix will notify you if your organisation's payment is overdue. Helix will provide a grace period of 7 days to allow you to make payment without interruption to your organisation's access. If payment is not received within the grace period, your organisation's access to Helix may be suspended or terminated. The grace period may be extended at the sole discretion of Helix.

Termination

If your organisation's access to Helix is terminated due to non-payment, you will have the opportunity to pay any outstanding fees to regain access to Helix. If payment is not received within 30 days of termination, your organisation's data may be permanently deleted from Helix.

Refunds

Helix will provide a 50% refund within 7 days of payment for any subscription period. After 7 days, no refunds will be provided. Refunds will be provided to the original payment method. Refunds will not be provided for any additional services or fees.

Any custom development or integration work is non-refundable once development has commenced, irrespective of the subscription period.

Helix may, at its sole discretion, provide a refund in exceptional circumstances. Requests for refunds must be made in writing to Helix Support.

Support

Helix provides support to organisations using Helix. For non-enterprise plans, support is provided via email and the Helix community forum. For enterprise plans, support is provided via email, phone, and the Helix community forum.

Helix will make every effort to respond to support requests within 24 hours, however, response times may vary depending on the nature of the request and the support plan provided.

During periods of high demand, Helix may prioritise support requests based on the nature of the request and the support plan provided. Further, during holidays or other periods of reduced availability, Helix may provide reduced support services.

End User Licence Agreement

You agree to be bound by the Helix End User Licence Agreement (EULA) when using the Helix software and services. The EULA outlines the terms and conditions for using the Helix software and services.

Reporting Security Vulnerabilities

If you believe you have discovered a security vulnerability in Helix, please report it to Helix Support immediately. Helix will investigate all reports of security vulnerabilities and take appropriate action to resolve the issue.

Organisation Users

Your organisation is responsible for managing users within Helix. You agree to provide accurate information for all users within your organisation, and to ensure that users are aware of and agree to these Terms of Service.

Individual users accessing Helix are further bound by the User Terms of Service. Non-enterprise users will be required to agree to the User Terms of Service before accessing Helix. Enterprise users will be required to agree to the User Terms of Service as part of their organisation's onboarding process.
