End User Licence Agreement (EULA)
This End-User Licence Agreement (EULA) is a legal agreement between Helix and the end-user of the Helix software. This EULA applies to the Helix software, including any updates or supplements to the software, unless they come with separate terms. If so, those terms apply.
Foreword
We have written this EULA, and all our other legal documents, in plain English wherever possible. We want you to understand what you are agreeing to when you use Helix and its associated services.
Definitions
In this document, case sensitivity is not important, for example "Helix" and "helix" mean the same thing. Likewise for plurals and singulars, for example "Helix" and "Helixes" mean the same thing.

Licence
In consideration of you agreeing to abide by the terms of this EULA, we grant you a non-transferable, non-exclusive licence to use the Helix software on the terms of this EULA.
You may
use the Helix software on any device owned or controlled by you;
receive and use any free supplementary software code or update of the Helix software incorporating "patches" and corrections of errors as may be provided by us from time to time;
use any documentation to support your use of the Helix software;
use the Helix software for your own personal or business purposes;
use the Helix software for the purposes of your organisation;
use the Helix software for the purposes of your organisation's clients, provided that you have a valid licence to do so; and
develop integration software to work with Helix software utilising official first-party APIs and SDKs provided by us.
You may not
sub-licence, rent, lease or transfer the Helix software to any third party (unless you have a licence from us to do so);
translate, merge, adapt, vary or modify the Helix software, or any part of it, except as permitted by law or with our prior written consent;
make alterations to, or modifications of, the whole or any part of the Helix software, nor permit the Helix software or any part of it to be combined with, or become incorporated in, any other programs;
disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Helix software nor attempt to do any such things except to the extent that (by virtue of section 296A of the Copyright, Designs and Patents Act 1988) such actions cannot be prohibited because they are essential for the purpose of achieving inter-operability of the Helix software with another software program, and provided that the information obtained by you during such activities:
is used only for the purpose of achieving inter-operability of the Helix software with another software program; and
is not unnecessarily disclosed or communicated without our prior written consent to any third party; and
is not used to create any software that is substantially similar to the Helix software;
use the Helix software in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;
use the Helix software in any way that causes, or may cause, damage to the Helix software or impairment of the availability or accessibility of the Helix software; or
use the Helix software to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.
Acceptable Use
You must not use the Helix software in any way that causes, or may cause, damage to the Helix software or impairment of the availability or accessibility of the Helix software to you or others. Helix is not currently certified for use in national security or critical infrastructure applications.
You must not use Helix in any way that causes reputational damage to RedEye Technologies or Helix, including for the use of Helix in any illegal or unethical activities. We reserve the right to terminate your licence to use Helix if we believe you are using it in a way that is harmful to us or our reputation.
Intellectual Property
We own all intellectual property rights in the Helix software, including any updates or supplements to the software. All rights not expressly granted to you in this EULA are reserved.
Warranty
We warrant that the Helix software will be free from defects in materials and workmanship under normal use for a period of 90 days from the date of purchase. If the Helix software is found to be defective within the warranty period, we will repair or replace the software at our discretion.
Limitation of Liability
To the maximum extent permitted by law, we accept no liability for any loss or damage, whether direct or indirect, that you may suffer as a result of using the Helix software. In no event shall we be liable for any loss of profit, loss of business, loss of revenue, loss of data, or any other loss or damage arising from the use of the Helix software.
Termination
We may terminate this EULA (and thus your licence to use the Helix software) immediately if you breach any of the terms of this EULA. Upon termination, you must cease all use of the Helix software and destroy all copies of the Helix software in your possession.
Governing Law
This EULA is governed by the laws of England and Wales. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to this EULA
We reserve the right to change this EULA at any time. Any changes will be posted on the Helix website. Your continued use of the Helix software after any changes to this EULA will constitute your acceptance of those changes.
We will aim to publish a new version of this EULA at least 30 days before it comes into effect. If you do not agree to the new version of this EULA, you must cease all use of the Helix software and destroy all copies of the Helix software.
